1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of Frames, a premium event photo and video sharing platform operated by Frames (“we”, “us”, or “our”). By creating an account or using our service, you agree to these Terms. If you do not agree, please do not use Frames.

2. Description of Service

Frames allows users to create private event galleries, share access via QR codes or links, and collect photos and videos from guests. We offer multiple subscription plans with different features and limitations. We may modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

3. Account Registration

• You must be at least 16 years old to create an account.
• You must provide accurate and complete information when registering.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all activity that occurs under your account.
• You may not share your account credentials with others.
• One person or entity may not maintain multiple accounts to circumvent plan limits.

4. Acceptable Use

You agree not to use Frames to:

• Upload, post, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Upload content that infringes on the intellectual property rights of others.
• Upload content containing personally identifiable information of others without their consent.
• Upload explicit, pornographic, or sexually suggestive content.
• Upload content depicting violence, self-harm, or illegal activities.
• Attempt to gain unauthorized access to our systems, user accounts, or data.
• Use the service to send spam, phishing, or other unsolicited communications.
• Interfere with or disrupt the service, servers, or networks connected to the service.
• Use automated systems (bots, scrapers) to access the service without our permission.
• Resell, sublicense, or redistribute the service without our written consent.

5. Content and Ownership

• You retain ownership of all content (photos, videos, text) you upload to Frames.
• By uploading content, you grant us a limited license to host, store, display, and process your content solely to provide the service.
• You are responsible for ensuring you have the right to upload all content you share.
• Guests who upload content to your event gallery grant you and Frames a limited license to display that content within the gallery.
• We reserve the right to remove any content that violates these Terms or that we determine is inappropriate.

6. Subscriptions and Billing

• By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page.
• Payments are processed through Stripe. Your subscription renews automatically until you cancel it.
• You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
• Refunds are available within 7 days of purchase if you are not satisfied with the service. Contact us to request a refund.
• We may change our fees with at least 30 days notice. Price changes take effect at the start of your next billing cycle.
• Plan upload limits apply per billing period. Unused uploads do not roll over.

7. Intellectual Property

The Frames service, including its design, software, logos, and brand assets, is our intellectual property. You may not copy, modify, distribute, or create derivative works from our service without our written consent. “Frames” and the Frames logo are trademarks of Frames.

8. Privacy

Our handling of your personal data is described in our Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

9. Disclaimers

• The service is provided “as is” and “as available” without warranties of any kind.
• We do not guarantee that the service will be uninterrupted, secure, or error-free.
• We are not responsible for the content uploaded by users or guests.
• You use the service at your own risk. We are not liable for any loss of data or content.
• You are responsible for maintaining backup copies of your content.

10. Limitation of Liability

To the maximum extent permitted by law, Frames shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Frames and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, your content, or your violation of these Terms.

12. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms, if we believe your conduct is harmful to other users or to us, or if required by law. Upon termination, your content will be deleted within a reasonable period, except where we are required to retain it by law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by posting the updated terms and updating the “last updated” date. Your continued use of Frames after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the service shall be resolved in the courts of Lagos, Nigeria.
